3. Purpose of These Terms

These terms govern:

  • access to and use of www.waiam.io;
  • the viewing of texts, images, videos and information relating to WAIAM and WAIAM Orbit;
  • pre-orders for WAIAM Orbit;
  • prices and payments;
  • product deliveries;
  • returns, replacements and refunds required by applicable law;
  • warranties and after-sales service;
  • protection of the website’s content;
  • processing of personal data.

Any use of the website requires compliance with these Terms of Use.

Before confirming a pre-order, the customer must read and accept the terms applicable to the offer in accordance with the procedure presented at the time of payment.


4. Presentation of WAIAM Orbit

WAIAM Orbit is a technology ecosystem that brings together several connected devices and accessories inside an organized and protective carrying case.

The first production wave includes:

  • one smartphone;
  • one smartwatch;
  • one pair of headphones;
  • one pair of virtual reality glasses;
  • one virtual reality controller;
  • one drone;
  • one gaming controller;
  • one four-in-one smartphone stabilizer;
  • one WAIAM Orbit case with dedicated compartments.

The four-in-one stabilizer may be used as:

  • a smartphone stabilizer;
  • a smartphone holder;
  • a tripod;
  • a telescopic selfie arm.

WAIAM Orbit is offered in two colors:

  • black;
  • white.

The customer selects their preferred color on the platform used for pre-orders, subject to the availability displayed.

WAIAM Orbit is offered as one complete package for the first production wave. Other configurations or packs may be developed for subsequent production waves.


5. Product Images and Features

The photographs, videos, animations, prototypes, three-dimensional representations and digital renderings displayed on the website are intended to illustrate the design, concept and planned functions of WAIAM Orbit.

The final contractual description is the description displayed at the time of the pre-order. It specifies, in particular:

  • the items included;
  • the selected color;
  • the main technical specifications;
  • the price;
  • delivery costs;
  • the announced delivery period.

WAIAM may make technical, software, functional or aesthetic improvements before final production, provided that such changes do not substantially reduce the essential functions, quality or announced value of the package.

Any significant change affecting the essential characteristics of the product will be communicated to the customers concerned.


6. Nature of the Pre-Order

A pre-order allows the customer to order WAIAM Orbit before it becomes immediately available.

The sales contract relating to WAIAM Orbit is entered into between the customer and SARL WAIAM.

The platform used to collect pre-orders acts primarily as a technical intermediary for:

  • presenting the offer;
  • recording the pre-order;
  • processing the payment;
  • collecting the information required for delivery.

A pre-order does not constitute a donation, financial investment or equity participation in SARL WAIAM.

It does not provide any entitlement to shares, dividends, interest or voting rights in the company.


7. Requirements for Placing a Pre-Order

The customer must be at least 18 years old and have the legal capacity required to enter into a contract.

The customer must provide accurate, complete and up-to-date information, including:

  • their identity;
  • their email address;
  • their billing address;
  • their delivery address;
  • their country of residence;
  • the information required for payment and shipment.

The customer is responsible for the accuracy of the information provided.

Any change to the delivery address must be reported as soon as possible and before the parcel is prepared.

WAIAM cannot be held responsible for a delay or failed delivery directly caused by an incorrect or incomplete address provided by the customer.


8. International Availability

WAIAM Orbit is intended to be available for worldwide delivery.

Delivery to certain destinations may nevertheless be refused or suspended due to:

  • legal restrictions;
  • customs restrictions;
  • limitations relating to the transportation of certain electronic devices;
  • specific regulations relating to drones;
  • restrictions imposed by carriers;
  • international sanctions;
  • the practical impossibility of serving certain areas.

Where an order cannot legally or practically be delivered to its destination, WAIAM will inform the customer and apply the solutions required by the applicable regulations.


9. Prices

The main currency used is the euro.

Prices are displayed inclusive of taxes where VAT or other taxes apply.

Before payment is confirmed, the customer is informed of:

  • the price of WAIAM Orbit;
  • the selected color;
  • applicable taxes;
  • delivery costs;
  • the total amount payable;
  • the payment schedule where installment payments are available;
  • the expected delivery date or period.

Delivery costs are calculated according to the destination country and added to the price before payment.

WAIAM may change the prices applicable to future pre-orders. A price change will not apply retroactively to a pre-order that has already been confirmed.


10. Customs Duties and Import Taxes

Customs duties and import taxes applicable to the destination indicated by the customer are covered by WAIAM and included in the total amount announced when the order is placed.

The customer should therefore not normally be required to pay additional customs duties when receiving the parcel.

Where a local authority or carrier exceptionally asks the recipient to advance a duty or tax that was announced as being covered by WAIAM, the customer must contact WAIAM at:

The customer must provide the documents required for WAIAM to verify the nature and amount of the requested charges.

After verification, WAIAM will reimburse eligible amounts actually advanced by the customer.

This coverage does not include fines, penalties, storage charges or additional costs resulting from:

  • the recipient’s prolonged absence;
  • refusal to accept delivery;
  • incorrect information provided by the customer;
  • refusal to provide a document requested by the authorities;
  • a breach of local regulations by the recipient.


11. Payment Methods

Available payment methods may vary depending on:

  • the customer’s country;
  • the currency used;
  • the amount of the pre-order;
  • the device used;
  • the options displayed at the time of payment.

Depending on the customer’s country, available payment methods may include:

  • Visa;
  • Mastercard;
  • Carte Bancaire;
  • Apple Pay;
  • Google Pay;
  • Bancontact;
  • Bancontact App;
  • BLIK;
  • Diners Club;
  • Discover;
  • EPS;
  • iDEAL;
  • JCB;
  • Klarna Pay Now;
  • MobilePay;
  • Multibanco;
  • Online Banking PL;
  • Trustly;
  • TWINT.

Only the payment methods actually displayed to the customer at the time of payment may be used for the pre-order.

Availability depends in particular on the customer’s country and currency.


12. Full Payment and Installment Payments

The full price of the pre-order is payable by the customer.

Payment may be made:

  • in one payment;
  • or in several installments where this option is offered at the time of the pre-order.

Where installment payments are available, the following information is presented before confirmation:

  • the number of installments;
  • the amount of each installment;
  • the date of each payment;
  • the minimum amount required to qualify for this option;
  • the date by which the full price must have been paid.

Depending on the configuration selected for the campaign, an installment plan may consist of between two and ten payments.

Installment payments do not constitute a price reduction. The customer remains liable for the full amount of the pre-order.

No deposit-only payment system is offered unless expressly stated otherwise before payment.

The order may only be shipped once the full amount due has been paid.


13. Pre-Order Confirmation

After the pre-order has been confirmed, the customer receives an electronic confirmation.

This confirmation may include:

  • the order reference;
  • the products ordered;
  • the selected color;
  • the total amount;
  • delivery costs;
  • the delivery address;
  • the payment method;
  • the installment schedule, where applicable;
  • the expected delivery date or period.

The customer must check the information contained in the confirmation and promptly report any error to:

14. Expected Delivery Date

Deliveries for the first WAIAM Orbit production wave are scheduled to begin on: January 15, 2027

All orders confirmed as part of this first production wave are scheduled to enter the preparation, shipping and delivery process from this date.

Physical receipt of the parcels cannot, however, take place on the same day in every country.

The actual delivery date depends in particular on:

  • the destination country;
  • the distance;
  • the carrier;
  • customs procedures;
  • working days;
  • local delivery conditions.

A more precise estimate will be communicated to the customer before shipment.


15. Carrier and Parcel Tracking

The main international carrier currently being considered for the first delivery wave is DHL Express.

WAIAM may nevertheless select another international carrier offering an appropriate level of service, depending on:

  • the destination country;
  • restrictions relating to the contents of the parcel;
  • available delivery times;
  • logistics capabilities;
  • customs procedures;
  • security conditions;
  • carrier availability.

The final choice of carrier, or any change of carrier, will be communicated to the customer during logistical confirmation or a few days before shipment.

Each shipped parcel will have a tracking number.

The customer will be able to use this number to track the order until delivery.


16. Production or Delivery Delays

Where a delay is anticipated, WAIAM will inform the customers concerned as soon as reasonably possible and provide a new estimate.

Where the contractual delivery date or period is not met, the customer may ask WAIAM to complete delivery within a reasonable additional period.

Where delivery still does not take place within that additional period, the customer may request termination of the contract in accordance with applicable law.

Where an order is lawfully cancelled due to non-delivery, WAIAM will refund the amounts due within the legally applicable period.


17. Commercial Cancellation Before Shipment

Due to the specific production arrangements for the first WAIAM Orbit wave, WAIAM does not offer a general discretionary right to cancel a pre-order after it has been definitively confirmed.

The quantities produced are determined in part by the confirmed pre-orders.

However, this rule does not restrict:

  • the statutory right of withdrawal where applicable;
  • the customer’s rights in the event of non-delivery;
  • statutory warranties;
  • rights granted by mandatory applicable regulations;
  • any cancellation options made available during the campaign through the pre-order interface.

Outside these situations, every confirmed pre-order remains final.


18. Statutory Right of Withdrawal

Where the customer acts as a consumer, the customer generally has a statutory period of 14 calendar days from the day after receipt of the product in which to exercise the right of withdrawal.

The customer is not required to provide a reason.

The choice between the standard black and white colors does not, by itself, constitute sufficient personalization to exclude the right of withdrawal.

The customer may exercise the right of withdrawal by using the contact form available on www.waiam.io and selecting the subject:

“Withdrawal”

The message field is unrestricted. The customer may explain the request in any way they choose.

Where the withdrawal request is submitted electronically, WAIAM will send the customer an acknowledgment of receipt.

The statutory right of withdrawal cannot be excluded solely because the product belongs to a first production wave or was purchased as a pre-order.

Any clause under which a consumer waives this right is invalid where no statutory exception applies.


19. Return Following Withdrawal

After informing WAIAM of the decision to withdraw, the customer must return the product no later than 14 days afterward.

In the case of a standard withdrawal involving a product that is not defective, the direct cost of the return is borne by the customer.

The package must be properly protected and returned with all items received, including:

  • the smartphone;
  • the smartwatch;
  • the headphones;
  • the virtual reality glasses;
  • the virtual reality controller;
  • the drone;
  • the gaming controller;
  • the four-in-one stabilizer;
  • the case;
  • the accessories;
  • the documentation.

The customer is responsible for any reduction in value resulting from handling beyond what is necessary to verify the nature, characteristics and operation of the products.

Use of the original packaging is recommended where it is still available, but the absence of the original packaging does not automatically remove the right of withdrawal.


20. Refund Following Withdrawal

Where the right of withdrawal has been validly exercised, WAIAM will refund the amounts legally due no later than 14 days after the date on which WAIAM was informed of the customer’s decision.

WAIAM may postpone the refund until:

  • the returned products have been recovered;
  • or proof of their shipment has been received.

The refund includes:

  • the price of the product;
  • the standard delivery costs originally charged.

Additional costs resulting from the customer’s choice of a delivery method more expensive than the standard method offered will not be refunded.

The refund will be made through the original payment method unless the customer expressly agrees to another method that does not result in any additional charges.

Outside refunds required by law or expressly granted by WAIAM, no discretionary commercial refund is offered for the first production wave.


21. Damaged Parcel or Defective Product Upon Delivery

The customer is advised to inspect the apparent condition of the parcel at the time of delivery.

Where visible damage is present, the customer is advised to:

  • photograph the parcel before opening it;
  • photograph or record the condition of the product;
  • make precise reservations with the carrier;
  • keep the parcel and protective materials;
  • contact WAIAM at contact@waiam.io.

To allow prompt processing, any request concerning transport damage or a visible defect upon delivery should, where possible, be submitted within a maximum of 15 days following delivery.

This 15-day commercial period is intended to facilitate processing of the request. It does not reduce the duration of the customer’s statutory warranty rights.

Where the damage, defect or non-conformity is confirmed, the necessary return costs will be covered by WAIAM.


22. Return and Replacement of a Defective Item

WAIAM Orbit is sold as a complete package.

Where a defect affects only one identifiable item, WAIAM may ask the customer to return only that item instead of the complete case.

Before making any return, the customer must contact customer service to receive the relevant instructions.

Where a return is covered by the commercial warranty or a statutory warranty:

  • WAIAM will cover the necessary return costs;
  • the customer must properly protect the product;
  • the customer must follow the procedure and use any return label provided by WAIAM;
  • no covered diagnosis or replacement fee will be charged.

After receiving and inspecting the defective item, WAIAM will replace it as soon as reasonably possible.


23. One-Year WAIAM Commercial Warranty

WAIAM provides a commercial warranty for a period of one year from the delivery date.

This warranty applies to all products and accessories included in the WAIAM Orbit package.

Where a covered defect affects only one item, only that item must be returned unless WAIAM instructs otherwise.

After inspection, WAIAM may replace the defective item with:

  • a new product;
  • or an equivalent product offering the same essential functions and an equivalent level of quality.

Where an item is replaced under the WAIAM commercial warranty, a new one-year commercial warranty begins for that item on the date of its new delivery.

The WAIAM commercial warranty is provided in addition to mandatory statutory warranties. It does not replace or reduce them.


24. Statutory Guarantee of Conformity

Independently of the one-year commercial warranty, the consumer benefits from the statutory guarantee of conformity for two years from delivery.

This statutory guarantee applies to new goods sold by a professional to a consumer. It also applies to goods containing digital elements.

In the event of a lack of conformity, the consumer may request repair or replacement of the product, subject to the limitations provided by law.

The product must be brought into conformity:

  • without cost to the consumer;
  • without major inconvenience;
  • within a maximum of 30 days following the request.

Where repair or replacement is impossible, refused, excessively delayed, unsuccessful, or where the seriousness of the defect justifies it, the consumer may request:

  • a price reduction;
  • or termination of the sale and the corresponding refund.

Where a product is repaired under the statutory guarantee, the duration of that guarantee is extended by six months.

Where replacement is imposed under the statutory guarantee, a new statutory two-year period begins for the replaced product.


25. Warranty Against Hidden Defects

The customer also benefits from the statutory warranty against hidden defects.

This warranty may apply where a defect:

  • existed at the time of the sale;
  • was not apparent at the time of purchase;
  • makes the product unsuitable for its normal use;
  • or reduces its use to such an extent that the customer would not have purchased it or would have paid a lower price.

The customer must bring a claim within two years from discovery of the defect, subject to the legal limitations and conditions.

The customer may request:

  • return of the product and reimbursement of the price;
  • or retention of the product with a price reduction.


26. Exclusions From the Commercial Warranty

The WAIAM commercial warranty does not cover damage resulting from:

  • misuse;
  • failure to follow the instructions;
  • a fall, impact or external accident;
  • contact with liquid where the product is not designed to resist it;
  • incorrect or unlawful use of the drone;
  • an unauthorized modification;
  • a repair performed by an unauthorized person;
  • the use of incompatible accessories;
  • normal wear and tear;
  • inappropriate storage;
  • intentional damage;
  • use contrary to applicable regulations.

These exclusions apply only to the commercial warranty.

They cannot remove the consumer’s rights where a defect is covered by a mandatory statutory warranty.


27. Repairs Outside the Warranty

WAIAM does not currently provide a worldwide repair service directly for products outside the warranty period.

The company intends to progressively develop a network of approved or recommended repair providers in different regions of the world.

Where an out-of-warranty repair service is available:

  • it is chargeable;
  • the cost must be communicated before the work is performed;
  • the customer contracts directly with the repair provider unless otherwise indicated;
  • no chargeable repair may be performed without the customer’s prior approval.

At the launch of the first production wave, WAIAM cannot guarantee the immediate availability of an approved repair provider in every country or city.

A repair performed by an unauthorized service provider may exclude the commercial warranty where that intervention directly caused the defect.

Customer service handles requests relating to:

  • pre-orders;
  • deliveries;
  • transport damage;
  • operating defects;
  • returns;
  • withdrawals;
  • warranties;
  • complaints.


29. Product Use and Safety

The customer must use the products in accordance with:

  • the supplied instructions;
  • safety warnings;
  • technical limitations;
  • the laws applicable in the customer’s country.

Drone use may be subject to specific requirements relating to:

  • device registration;
  • pilot training;
  • authorized areas;
  • airspace restrictions;
  • maximum altitude;
  • image recording;
  • privacy protection;
  • local authorizations.

The customer is responsible for checking the applicable regulations before using the drone.

Virtual reality equipment must be used in a clear, stable and safe area.

WAIAM cannot be held responsible for damage directly caused by unlawful, dangerous or clearly improper use, subject to liabilities that cannot legally be excluded.


30. Intellectual Property

The content available on www.waiam.io, including:

  • the WAIAM name;
  • the WAIAM Orbit name;
  • the logo;
  • texts;
  • slogans;
  • photographs;
  • videos;
  • animations;
  • drawings;
  • digital renderings;
  • interfaces;
  • presentations;
  • technical documents;
  • graphic creations;
  • the structure and visual organization of the website;

is protected by applicable intellectual property rights where the legal conditions for protection are met.

Without WAIAM’s prior written authorization, it is prohibited to:

  • copy all or part of the website;
  • reproduce its content;
  • download and republish images or videos for commercial purposes;
  • modify visuals and present them as third-party creations;
  • use WAIAM’s name, logo or distinctive signs;
  • present a WAIAM product as belonging to another company;
  • create a presentation likely to cause confusion with WAIAM;
  • systematically extract a substantial part of the website;
  • sell, transfer or commercially exploit the website’s content;
  • remove authorship, ownership or source notices.

Sharing a link to an official WAIAM webpage is permitted provided that:

  • its content is not modified;
  • no confusion is created regarding its origin;
  • it does not suggest the existence of a partnership or authorization that has not been granted.

Protection applies to WAIAM’s concrete creations, including its texts, visuals, videos, drawings, presentations and original works.

It does not mean that an abstract idea or concept is automatically protected independently of its material expression.


31. Website Use Rules

The user agrees to use the website lawfully and responsibly.

It is prohibited to:

  • disrupt the operation of the website;
  • introduce a virus or malicious software;
  • bypass security measures;
  • fraudulently access a system or data;
  • automatically collect content without authorization;
  • use the website for misleading or unlawful purposes;
  • impersonate WAIAM or a member of its team;
  • distribute false information while presenting oneself as an official WAIAM representative.

WAIAM may take any necessary measures to protect the website and its users against fraudulent, abusive or malicious activity.

WAIAM makes reasonable efforts to keep the website available and to present accurate and up-to-date information.

The website may nevertheless be temporarily unavailable due to:

  • maintenance;
  • an update;
  • a technical failure;
  • a security incident;
  • a problem affecting the hosting provider;
  • an event outside WAIAM’s reasonable control.

WAIAM does not guarantee permanent and uninterrupted availability of the website.

Any error brought to WAIAM’s attention will be reviewed and corrected within a reasonable period.


33. External Links and Services

The website may contain links to websites or services operated by third parties, including the platform used for pre-orders.

These external services may have their own:

  • terms of use;
  • privacy policies;
  • payment rules;
  • technical procedures;
  • security systems.

WAIAM does not necessarily control the content or operation of these external websites.

Customers are advised to review the applicable terms before using them.


34. Data Collected Through the Contact Form

The contact form available on www.waiam.io may collect the following information:

  • surname;
  • first name;
  • country;
  • email address;
  • subject of the request;
  • message content.

The website currently does not offer:

  • customer accounts;
  • an integrated pre-order form;
  • newsletter registration;
  • commercial email marketing.

The contact form may be used for requests relating to:

  • general information;
  • media inquiries;
  • partnerships;
  • investments;
  • pre-orders;
  • deliveries;
  • warranties;
  • complaints;
  • withdrawals.


35. Use of Personal Data

SARL WAIAM acts as the data controller for personal data collected directly through the contact form.

This data may be used to:

  • receive and process requests;
  • respond to visitors;
  • follow up on communications;
  • process professional proposals;
  • manage customer service requests;
  • process complaints and withdrawal requests;
  • prevent fraudulent or abusive messages;
  • establish, exercise or defend WAIAM’s legal rights.

Depending on the nature of the request, processing may be based on:

  • WAIAM’s legitimate interest in responding to received messages;
  • pre-contractual measures requested by the individual;
  • performance of a contract;
  • compliance with a legal obligation.

The information is accessible only to authorized persons within WAIAM and, where necessary, to its technical service providers or professional advisers.


36. Data Retention

Data relating to a contact request is retained for the period required to process the request.

It may then be retained for a maximum period of three years from the last contact, unless a different retention period is required:

  • to comply with a legal obligation;
  • to follow up on an order;
  • to manage a warranty;
  • to process a complaint;
  • to establish, exercise or defend legal rights.

Personal data is not retained indefinitely. The retention period is adapted to the purpose for which the data was collected.


37. Personal Data Rights

Subject to the conditions provided by applicable regulations, every individual may:

  • request access to their personal data;
  • request correction of their data;
  • request deletion of their data;
  • request restriction of processing;
  • object to certain processing activities;
  • request data portability where applicable;

WAIAM will review complaints and make reasonable efforts to respond within an appropriate period.


39. Consumer Mediation

Where a dispute remains unresolved after a written complaint has been submitted to customer service, the consumer may use a consumer mediation service free of charge.

WAIAM consumer mediator: currently being appointed.

Before paid pre-orders are opened, WAIAM will complete this section with:

  • the name of the appointed mediator;
  • the mediator’s postal address;
  • the mediator’s website address.

The mediator’s contact details will be displayed visibly on the website, in the sales conditions and on contractual documents.


40. Liability

WAIAM remains responsible for the proper performance of its obligations in accordance with applicable regulations.

Nothing in these terms limits:

  • statutory warranties;
  • the right of withdrawal where applicable;
  • the customer’s rights in the event of non-delivery;
  • liability resulting from intentional misconduct or gross negligence;
  • any liability that cannot legally be excluded.

WAIAM cannot, however, be held responsible for damage directly caused by:

  • misuse of the product;
  • failure to follow the instructions;
  • an unauthorized modification;
  • unlawful use;
  • the customer’s fault;
  • incorrect information provided by the customer;
  • an event legally qualifying as force majeure.


41. Force Majeure

WAIAM cannot be held responsible for a delay or failure directly caused by an event outside its reasonable control that meets the legal requirements for force majeure.

Such events may include, where they meet the legal requirements:

  • a natural disaster;
  • armed conflict;
  • an unforeseeable administrative decision;
  • an exceptional border closure;
  • a major transportation disruption;
  • an industrial fire;
  • a widespread failure;
  • a public health crisis;
  • an exceptional and unforeseeable supply chain disruption.

WAIAM will inform the customers concerned as soon as reasonably possible and take reasonable measures to limit the consequences of the event.

Where the obstruction becomes permanent or makes delivery impossible, the cancellation and refund rights required by law remain applicable.


42. Governing Law and Dispute Resolution

These terms are governed by French law.

Where a consumer resides in another country, the choice of French law does not deprive that consumer of any mandatory consumer protection provisions applicable in the country of residence.

The parties will make reasonable efforts to resolve any dispute amicably.

Where no amicable solution is reached, the consumer may use the consumer mediator appointed by WAIAM.

Where the dispute remains unresolved, the competent courts will be determined in accordance with the applicable legal rules.


43. Changes to These Terms

WAIAM may modify these terms to reflect:

  • changes to the website;
  • legislative or regulatory developments;
  • product changes;
  • changes to payment methods;
  • changes to delivery arrangements;
  • new functionality;
  • changes to WAIAM’s organization.

The version applicable to a pre-order is the version accepted by the customer at the time of confirmation, except where a change is required by law or expressly accepted by the customer.
