3. Purpose of These Terms

These Legal Terms govern:

  • access to and use of www.waiam.io;

  • information relating to WAIAM and WAIAM Orbit;

  • participation in the WAIAM Orbit crowdfunding campaign;

  • WAIAM Orbit Launch Pack orders;

  • use of the Indiegogo Pledge Manager;

  • prices, taxes and payments;

  • Stretch Pay installment payments;

  • delivery charges, insurance and customs-related charges;

  • international delivery;

  • cancellations, withdrawals, returns and refunds;

  • statutory warranties and after-sales service;

  • intellectual property;

  • personal data and website use.

Use of the website requires compliance with these terms.

When an order or pledge is placed through Indiegogo or another authorized platform, the customer must also comply with the applicable terms and procedures of that platform.

Nothing in these Legal Terms limits any mandatory consumer right that cannot lawfully be excluded.


4. WAIAM Orbit Launch Pack

WAIAM Orbit is a complete technology ecosystem bringing together several connected devices and accessories inside one organized and protective Smart Case.

For the Indiegogo launch, WAIAM Orbit is offered as one complete package: the WAIAM Orbit Launch Pack.

The Launch Pack is designed to include:

  • one WAIAM smartphone;

  • one WAIAM smartwatch;

  • one pair of WAIAM wireless earbuds;

  • one WAIAM wireless headphones;

  • one WAIAM 5-in-1 smartphone stabilizer;

  • one WAIAM wireless controller;

  • one WAIAM drone;

  • one pair of WAIAM VR glasses;

  • one WAIAM VR Controller;

  • one WAIAM Smart Case;

  • one 7-port USB-C charger;

  • one 50 W wireless charger;

  • two additional drone batteries;

  • one smartphone armband;

  • smartwatch bands;

  • one smart tracking module;

  • one foldable drone take-off and landing pad;

  • one microfiber cloth;

  • the accessories and documentation specified in the final product description.

The 5-in-1 smartphone stabilizer combines smartphone holder, tripod, extension arm, stabilization and intelligent tracking functions.

The WAIAM Orbit Launch Pack will be available in two finishes:

  • Black;

  • White.

The customer will select the available color of the ordered products through the Pledge Manager during the order-finalization process.

WAIAM Orbit is deliberately offered as one complete ecosystem during the launch campaign rather than as separate individual products.

The Launch Pack offered during the Indiegogo campaign constitutes the first commercial production series of WAIAM Orbit and is intended as a launch configuration that may not be reproduced in exactly the same form after the campaign.


5. Product Images, Specifications and Development

Photographs, videos, animations, prototypes, three-dimensional representations, technical illustrations and digital renderings displayed by WAIAM are intended to present the design, concept and planned functions of WAIAM Orbit.

The product specifications presented during the campaign represent the specifications and performance targets planned for production.

Because WAIAM Orbit is undergoing final development, validation, certification and industrialization, certain technical, software, functional, dimensional or aesthetic characteristics may be adjusted before final production.

Any such adjustment must not substantially reduce the essential functionality, general quality or overall value of the product ordered.

Where a significant modification materially affects an essential characteristic of the product, the customers concerned will be informed.

The final contractual configuration is determined by the information applicable to the confirmed order and any subsequent information validly accepted through the Pledge Manager.


6. Nature of the Crowdfunding Order

The WAIAM Orbit Indiegogo campaign allows backers to support the launch of the first commercial production series and order the WAIAM Orbit Launch Pack before normal commercial availability.

The transaction relating to the product is entered into between the customer and SARL WAIAM, subject to the functions performed by Indiegogo and its payment service providers.

Indiegogo provides platform services that may include:

  • presentation of the campaign;

  • registration of pledges;

  • payment processing;

  • Pledge Manager services;

  • collection of shipping information;

  • calculation or collection of certain taxes;

  • collection of shipping charges or other outstanding amounts;

  • management of order information.

A contribution for a WAIAM Orbit Launch Pack does not constitute an investment in SARL WAIAM.

It does not provide any entitlement to shares, dividends, interest, ownership of the company or voting rights.


7. Requirements for Ordering

The customer must have the legal capacity required to enter into the transaction and must comply with the age and eligibility requirements of the platform used.

The customer must provide accurate, complete and up-to-date information required for the order, payment and delivery.

This may include:

  • identity;

  • email address;

  • billing information;

  • delivery address;

  • destination country;

  • color selection;

  • payment information;

  • any information required for customs or delivery.

The customer is responsible for checking the information provided before finalizing the order.

Any change to information affecting delivery must be made within the period during which the Pledge Manager permits such changes or communicated to WAIAM as soon as reasonably possible.

WAIAM cannot be responsible for a delay or failed delivery directly resulting from incorrect or incomplete information supplied by the customer.


8. Delivery Countries for the Indiegogo Launch

For the first WAIAM Orbit Indiegogo campaign, sales and deliveries are initially limited to the following 30 countries and territories:

United States, Canada, United Kingdom, China, Hong Kong, Taiwan, Singapore, Japan, South Korea, India, Malaysia, Israel, United Arab Emirates, Qatar, Australia, New Zealand, France, Germany, Italy, Spain, Netherlands, Belgium, Sweden, Poland, Denmark, Austria, Finland, Ireland, Switzerland and Norway.

WAIAM selected these destinations as priority launch markets based on its assessment of crowdfunding activity, expected backer demand and the logistical requirements of the first production and international delivery operation.

Limiting the first campaign to these destinations is intended to simplify:

  • the first commercial production run;

  • order management;

  • international freight;

  • customs procedures;

  • delivery organization;

  • customer support and after-sales preparation.

This restriction applies to the initial Indiegogo campaign.

After the campaign, WAIAM intends to progressively make WAIAM Orbit available for ordering in additional countries through the WAIAM website, subject to product availability, logistics, local regulations, certifications, import restrictions and delivery capabilities.

Availability in a country is not guaranteed until that destination is expressly offered during the applicable order process.


9. Launch Pack Price

WAIAM's planned reference price for the complete WAIAM Orbit package is €3,000 excluding VAT.

For the Indiegogo launch campaign, WAIAM is offering an exceptional launch reduction advertised as 33.36%, bringing the WAIAM Orbit Launch Pack price to:

€1,999 excluding VAT

This launch price applies to eligible Launch Pack orders placed under the campaign offer while the relevant offer remains available.

The launch reduction concerns the price of the WAIAM Orbit Launch Pack itself.

Taxes, insurance, customs-related charges and shipping costs are treated separately as described below.

WAIAM may establish different prices, packs or commercial offers after the campaign. Such future changes do not retroactively modify an order already confirmed at the applicable campaign price.


10. Sales Tax, VAT and Local Taxes

The WAIAM Orbit Launch Pack campaign price is stated excluding VAT and other applicable indirect taxes.

Applicable sales tax, VAT or other local consumption tax may be calculated and collected by the platform when the relevant purchase or payment is processed, according to:

  • the destination;

  • the customer's location;

  • applicable tax rules;

  • the transaction value;

  • the origin and structure of the shipment;

  • the tax-handling rules applied by Indiegogo at the relevant stage.

Where a tax is required to be calculated during the initial purchase or pledge process, it will be displayed during that process.

Where Indiegogo or applicable law requires a tax to be determined or collected later, including during the Pledge Manager phase, the corresponding amount will be displayed at the relevant payment stage.

The amount and rate applicable to the customer are determined according to the information and rules applicable when the tax becomes due.


11. Insurance, Customs Charges, Shipping and Pledge Manager

Other delivery-related costs are calculated after the campaign when sufficient delivery information is available.

These costs may include:

  • transport insurance;

  • customs duties;

  • import taxes or import-related charges not already collected;

  • international shipping fees;

  • destination-related logistics charges where applicable.

These amounts will be determined according to the customer's delivery address, location and destination and displayed through the Pledge Manager before the corresponding payment is validated.

The Pledge Manager is therefore used to finalize essential delivery aspects of the order, including where applicable:

  • product color selection;

  • order information;

  • delivery information;

  • applicable delivery charges;

  • insurance;

  • customs-related amounts;

  • outstanding payments.

The customer will be able to review the amounts displayed before validating the applicable payment.


12. DDP — Delivered Duty Paid

Where WAIAM offers delivery on DDP — Delivered Duty Paid — terms for a destination, the purpose of this arrangement is to organize the shipment so that the planned transportation costs and applicable customs or import charges included in the DDP calculation are settled in advance.

The customer validates the corresponding amounts through the Pledge Manager before shipment.

Under the planned DDP delivery process, WAIAM arranges the shipment and accounts for the customs and import charges included in the final DDP calculation so that the customer should not be requested to make an additional payment for those same charges when receiving the parcel.

DDP does not cover additional charges caused by circumstances attributable to the recipient, including where applicable:

  • incorrect delivery information;

  • refusal to provide documents required by customs authorities;

  • prolonged failure to receive the parcel;

  • storage charges caused by the recipient;

  • fines or penalties;

  • unlawful import or use;

  • charges arising from circumstances not included in the confirmed DDP calculation.

If a carrier or authority requests payment of a charge that the customer's confirmed DDP payment expressly included, the customer should contact WAIAM before making the payment whenever reasonably possible.

WAIAM will review the circumstances and supporting documentation and apply the appropriate solution.


13. Payment Methods

Payments are processed through the payment methods made available by the applicable platform and payment service provider.

Available payment methods may vary according to:

  • country;

  • currency;

  • transaction value;

  • platform;

  • payment stage;

  • device;

  • payment provider.

Only payment methods actually displayed to the customer during checkout may be used.

Payment information is processed through the applicable payment service provider according to its own security and payment procedures.


14. Stretch Pay x3

To make WAIAM Orbit more accessible, WAIAM intends to make Stretch Pay x3 available where supported and displayed by Indiegogo.

Stretch Pay allows eligible customers to spread the payment over several installments instead of paying the entire eligible amount in a single transaction.

For the WAIAM Orbit Launch Pack, the planned Stretch Pay x3 structure for the product price is:

First payment: €850

The first payment must be successfully made within the applicable order-finalization period and before the relevant Pledge Manager payment deadline in order for the installment order to proceed.

The remaining balance of the product price is then divided into two additional monthly payments, scheduled over the two months following the closing of the Pledge Manager, according to the installment schedule displayed by the platform.

Any taxes, shipping fees, insurance, customs-related charges or other amounts added to the order will be handled according to the payment schedule and rules displayed by Indiegogo when the customer confirms the relevant payment.

Before choosing Stretch Pay, the customer will be shown the applicable installment schedule through the platform.

The dates and amounts displayed by the platform at the time of confirmation prevail for that individual payment plan.

Stretch Pay does not reduce the total amount due. It only spreads eligible payments over time.

An order using Stretch Pay must be fully paid before shipment unless the platform and WAIAM expressly provide otherwise.

If an installment payment fails, the customer must follow the payment-recovery procedure provided by Indiegogo or its payment processor.


15. Order Confirmation and Pledge Manager

Following a successful crowdfunding campaign, the Pledge Manager serves as the dedicated space for finalizing WAIAM Orbit orders.

Customers may use it, depending on the options available for their pledge, to:

  • review their order;

  • select the color of their WAIAM Orbit products;

  • review or complete required order information;

  • provide or update delivery information;

  • review shipping charges;

  • review insurance charges;

  • review customs-related charges where applicable;

  • pay outstanding amounts;

  • review the payment schedule where Stretch Pay is used.

Customers must carefully verify all information before finalizing the order.

Any information specifically displayed and accepted during the final Pledge Manager confirmation forms part of the applicable order information.


16. Expected Production and Delivery Schedule

The first WAIAM Orbit commercial production and delivery program follows the project roadmap communicated during the campaign.

The current planned shipping and delivery schedule is:

Shipping to backers: from January 4, 2027

Estimated delivery period: January 4 to January 22, 2027

The January 4, 2027 date represents the planned beginning of the shipping and delivery phase and does not mean that every customer will physically receive the package on that date.

Actual delivery timing depends on circumstances including:

  • destination country;

  • delivery address;

  • carrier;

  • customs processing;

  • international transport conditions;

  • local logistics;

  • working days;

  • weather or exceptional events.

The delivery period is an estimate based on the planned production and logistics schedule.

A more precise shipment or tracking estimate may be provided when the individual order enters fulfillment.


17. Carrier and Tracking

WAIAM may use DHL Express or another suitable international carrier depending on:

  • destination;

  • transportation restrictions;

  • battery and electronics requirements;

  • available delivery services;

  • customs procedures;

  • logistics capacity;

  • security considerations;

  • carrier availability.

The carrier ultimately selected for an order may therefore vary between destinations.

Where tracking is available, the customer will receive or be given access to a parcel tracking number once the shipment has been prepared and registered with the carrier.


18. Production or Delivery Delays

Crowdfunding products may involve production, industrialization and international logistics stages before delivery.

If WAIAM becomes aware of a significant delay affecting the announced delivery schedule, it will make reasonable efforts to inform the customers concerned and provide an updated estimate.

Nothing in this provision removes any mandatory rights available to a consumer where the legally applicable delivery deadline is not respected.

Where applicable law gives the consumer the right to require delivery within an additional reasonable period, terminate the contract or receive a refund due to non-delivery, those rights remain unaffected.


19. Cancellation of a Crowdfunding or Pledge Manager Order

The ability to cancel an order depends on:

  • the campaign stage;

  • the payment status;

  • whether payment has already been successfully collected;

  • whether an installment plan has begun;

  • the order status;

  • the options made available by Indiegogo;

  • mandatory consumer rights.

Where an order is still unpaid and the platform permits it to be cancelled before a successful charge, no payment will be collected for the cancelled unpaid order.

Where an amount has already been successfully charged, cancellation may require a refund rather than simply stopping payment.

Customers using Stretch Pay should be aware that an installment plan does not automatically disappear solely because the customer decides not to continue after crowdfunding. Any cancellation or refund request after the crowdfunding stage must follow the applicable Indiegogo procedure and WAIAM policy, without prejudice to mandatory consumer rights.

Nothing in this section limits a statutory withdrawal right, statutory warranty, non-delivery right or any other mandatory consumer protection.


20. Statutory Right of Withdrawal

Where applicable consumer law grants a right of withdrawal for a distance sale, the customer may exercise that right within the applicable statutory period.

For consumers benefiting from French or European Union distance-selling rules, the statutory withdrawal period for goods is generally 14 days from receipt of the product, subject to statutory exceptions.

The customer does not have to provide a reason.

The choice between the standard black and white WAIAM Orbit finishes does not, by itself, constitute sufficient personalization to remove a statutory withdrawal right.

or by using the WAIAM website contact form and clearly stating the intention to withdraw from the contract.

Where required by applicable law, WAIAM will provide or accept the statutory withdrawal form.

The fact that WAIAM Orbit was ordered through a crowdfunding campaign or forms part of a first production series does not, by itself, remove a mandatory statutory withdrawal right.


21. Return Following Withdrawal

After notifying WAIAM of a valid withdrawal, the customer must return the goods within the period required by applicable law.

For customers subject to the French or European Union rules described above, the return must generally be sent no later than 14 days after notification of withdrawal.

Unless WAIAM provides another authorized return address, returns should be sent according to the instructions provided by WAIAM Customer Service.

For a standard withdrawal involving products that are not defective, direct return costs may be borne by the customer where permitted by applicable law and where the customer was properly informed of this condition.

Because the WAIAM Orbit Launch Pack is sold as a complete ecosystem, a withdrawal from the complete Launch Pack normally requires return of the complete order, including all products, accessories and included items.

The customer is responsible for any reduction in value resulting from handling beyond what is reasonably necessary to establish the nature, characteristics and functioning of the goods.

Original packaging should be retained where reasonably possible because it facilitates safe transport, but its absence does not by itself remove a statutory right where applicable law provides otherwise.


22. Refund Following Statutory Withdrawal

Where a statutory right of withdrawal has been validly exercised, WAIAM will reimburse the amounts required by applicable law within the legally applicable period.

Where French or European Union consumer rules apply, the refund is generally made no later than 14 days after WAIAM has been informed of the withdrawal, although WAIAM may be entitled to withhold reimbursement until the goods have been received or the customer provides evidence that they have been returned.

The refund will include the amounts that applicable law requires to be reimbursed.

Where applicable, additional delivery costs resulting solely from the customer's choice of a delivery method more expensive than the standard delivery method offered do not have to be reimbursed beyond the amount corresponding to standard delivery.

Refunds will normally be processed through the payment method and platform used for the original transaction, unless another lawful method is agreed.


23. Damaged Parcel or Product Problem Upon Delivery

Customers are encouraged to inspect the external condition of the parcel when it is delivered.

If visible damage is identified, the customer should, where possible:

  • photograph the parcel before opening;

  • retain packaging and protective materials;

  • photograph or record the damaged item;

  • notify the carrier where appropriate;

  • contact WAIAM promptly.

Prompt reporting helps WAIAM investigate transport damage efficiently.

Any voluntary reporting period communicated by WAIAM is intended to facilitate processing and does not shorten mandatory statutory warranty periods.

Where a defect, transport damage or lack of conformity is covered by WAIAM's legal obligations, the necessary corrective procedure will be provided without unlawfully transferring covered costs to the consumer.


24. Defective Individual Product Within the Launch Pack

Although WAIAM Orbit is sold as one complete Launch Pack, a defect may affect only one identifiable device or accessory.

Whenever technically and legally appropriate, WAIAM's objective is to handle only the affected device or component rather than requiring the customer to return the entire Smart Case and all products.

The applicable procedure will depend on:

  • the affected product;

  • the nature of the problem;

  • diagnostic requirements;

  • the customer's location;

  • available after-sales facilities;

  • applicable consumer law.

Customers must contact WAIAM Customer Service before returning a defective item so that the appropriate procedure and return instructions can be provided.


25. Two-Year Statutory Guarantee of Conformity

Eligible consumers benefit from the statutory guarantee of conformity applicable under mandatory consumer law.

For consumers covered by French law, the statutory guarantee of conformity for goods applies for two years from delivery.

This legal guarantee is separate from any voluntary commercial service and does not require the customer to purchase an additional warranty.

Where a covered lack of conformity exists, the consumer may be entitled, depending on applicable law and circumstances, to:

  • repair;

  • replacement;

  • price reduction;

  • termination of the sale and refund where the legal conditions are met.

Under French consumer law, bringing the product into conformity through repair or replacement must take place without cost to the consumer, without major inconvenience and within the period required by law.

Where French law applies, repair or replacement is generally required within a maximum of 30 days following the consumer's request, subject to the statutory conditions.

Additional protections may apply following a repair or replacement as provided by applicable law.

Customers living outside France or the European Union may benefit from other mandatory statutory warranties under the laws applicable to them.

Where those protections are more favorable and mandatorily applicable, these Legal Terms do not reduce them.


26. Warranty Against Hidden Defects

Where French law applies, customers may also benefit from the statutory warranty against hidden defects where the legal conditions are satisfied.

A hidden defect may be relevant where it:

  • existed when the product was sold;

  • was not apparent at the time of purchase;

  • makes the product unsuitable for its intended use;

  • or reduces its usefulness to such an extent that the customer would not have purchased it, or would have paid less, had the defect been known.

The applicable legal time limits, burden of proof and remedies are determined by the law governing the claim.

Nothing in these Legal Terms limits this statutory protection where it applies.


27. WAIAM After-Sales Service

WAIAM's commitment is intended to continue after delivery.

Starting January 4, 2027, WAIAM plans to progressively deploy its after-sales service for customers receiving WAIAM Orbit.

The planned service may include:

  • customer assistance;

  • product diagnostics;

  • maintenance guidance;

  • repair solutions;

  • replacement procedures where applicable;

  • assistance with individual devices in the WAIAM Orbit ecosystem.

WAIAM also intends to progressively develop a network of authorized repairers and approved service points in countries where WAIAM Orbit has been delivered.

The availability of a physical repairer or service point in a specific city or country may depend on the progressive development of the network.

The absence of a local approved service point does not remove any statutory warranty right applicable to the customer.


28. Repairs, Spare Parts and Product Lifecycle

WAIAM intends, where technically and commercially possible, to favor:

  • maintenance;

  • repair;

  • replacement of selected components;

  • refurbishment of eligible returned devices;

  • extended product use;

  • reduced unnecessary replacement of complete devices.

Availability of spare parts or repair solutions may vary according to:

  • the product;

  • the component;

  • technical feasibility;

  • product generation;

  • destination country;

  • service-network availability;

  • applicable regulations.

Any chargeable repair outside mandatory warranty coverage will require the customer's agreement to the applicable price before the service is performed.

  • statutory warranties;

30. Product Use and Safety

Customers must use WAIAM products according to:

  • supplied instructions;

  • safety information;

  • technical limitations;

  • applicable laws and regulations.

The WAIAM drone may be subject to country-specific requirements concerning:

  • registration;

  • operator requirements;

  • pilot competence;

  • permitted flight areas;

  • airspace restrictions;

  • altitude;

  • privacy;

  • photography and recording;

  • insurance;

  • local authorizations.

The customer is responsible for verifying the laws applicable to the operation of the drone at the place of use.

VR and XR equipment should be used in a clear and safe environment and according to the supplied safety instructions.

WAIAM is not responsible for damage directly caused by unlawful or clearly improper use, subject to liability that cannot legally be excluded.


31. Intellectual Property

Content available on www.waiam.io, including where legally protected:

  • the WAIAM name;

  • the WAIAM Orbit name;

  • logos;

  • slogans;

  • texts;

  • photographs;

  • videos;

  • animations;

  • drawings;

  • digital renderings;

  • interfaces;

  • presentations;

  • technical documents;

  • graphic creations;

  • product presentation materials;

  • website structure and visual organization;

is protected by applicable intellectual property rights.

Without prior written authorization from WAIAM, it is prohibited to:

  • reproduce a substantial part of the website;

  • republish protected WAIAM content for commercial purposes;

  • commercially exploit WAIAM photographs, videos or graphics;

  • modify WAIAM materials and present them as third-party creations;

  • use the WAIAM name, logo or distinctive signs in a misleading manner;

  • falsely suggest a partnership with WAIAM;

  • present WAIAM products as belonging to another company;

  • remove ownership or authorship notices.

Sharing a link to an official WAIAM page is permitted provided that it does not create confusion regarding the origin, ownership or existence of a partnership.

Protection applies to WAIAM's concrete original creations and does not mean that an abstract idea is automatically protected independently of its expression.


32. Website Use

The user agrees to use the WAIAM website lawfully and responsibly.

It is prohibited to:

  • interfere with website operation;

  • introduce malware or malicious code;

  • bypass security systems;

  • gain unauthorized access to systems or data;

  • impersonate WAIAM or its representatives;

  • use the website for fraudulent or unlawful activity;

  • systematically extract protected content without authorization;

  • distribute misleading information while falsely claiming to represent WAIAM.

WAIAM may take reasonable technical or legal measures to protect the website, company and users against fraudulent or malicious activity.


33. Website Availability

WAIAM makes reasonable efforts to maintain the availability and accuracy of its website.

Temporary interruption may nevertheless occur due to:

  • maintenance;

  • software updates;

  • technical incidents;

  • cybersecurity issues;

  • hosting failures;

  • infrastructure problems;

  • circumstances outside WAIAM's reasonable control.

34. External Platforms, Links and Services

The WAIAM website may contain links to services operated by third parties, including:

  • Indiegogo;

  • payment providers;

  • social networks;

  • video platforms;

  • logistics or tracking services.

These third-party services may operate under their own terms, privacy policies and technical procedures.

When a transaction is processed through Indiegogo, the customer is also subject to the applicable platform rules governing the relevant payment, pledge or Pledge Manager process.

WAIAM does not control every technical function of third-party platforms and cannot guarantee their permanent availability.

The contact form on the WAIAM website may collect:

40. Consumer Mediation

Where applicable, a consumer who has first submitted a written complaint to WAIAM and has not obtained a satisfactory resolution may have access to an independent consumer mediation procedure under the conditions established by applicable law.

The WAIAM consumer mediator will be appointed and its contact details will be published from January 4, 2027.


41. Liability

WAIAM remains responsible for the proper performance of its legal and contractual obligations in accordance with applicable law.

Nothing in these Legal Terms excludes or limits:

  • mandatory statutory warranties;

  • a statutory right of withdrawal where applicable;

  • rights resulting from non-delivery;

  • mandatory product-liability rights;

  • liability that cannot legally be excluded.

Subject to those mandatory rules, WAIAM cannot be held responsible for damage directly caused by:

  • misuse;

  • failure to follow instructions;

  • unauthorized modifications;

  • illegal use;

  • customer negligence;

  • incorrect information supplied by the customer;

  • circumstances qualifying as force majeure under applicable law.


42. Force Majeure

WAIAM cannot be held responsible for delay or failure caused by an event outside its reasonable control where that event satisfies the legal requirements for force majeure.

Depending on the circumstances, such events may include:

  • natural disasters;

  • armed conflict;

  • exceptional border closures;

  • unforeseeable government restrictions;

  • major transport disruption;

  • industrial fires;

  • widespread infrastructure failures;

  • major public-health emergencies;

  • exceptional and unforeseeable supply-chain disruption.

Where reasonably possible, WAIAM will inform affected customers and take appropriate measures to limit the effects of the event.

Where an event makes contractual performance permanently impossible, mandatory cancellation and refund rights remain applicable.


43. Governing Law and Consumer Rights

These Legal Terms are governed by French law.

However, where a consumer resides in another country, this choice of law does not deprive the consumer of mandatory consumer protections that apply to them and cannot lawfully be excluded by contract.

The parties should first attempt to resolve any dispute amicably.

Where applicable, the consumer may then use the consumer mediation procedure described above.

If the dispute remains unresolved, jurisdiction will be determined according to the applicable legal rules.


44. Changes to These Legal Terms

WAIAM may update these Legal Terms to reflect:

  • legal or regulatory changes;

  • changes to the website;

  • campaign developments;

  • changes to WAIAM Orbit;

  • changes to the Pledge Manager process;

  • payment-method changes;

  • tax-handling changes;

  • delivery arrangements;

  • logistics;

  • after-sales arrangements;

  • technical or organizational changes.

The version applicable to a transaction is determined according to applicable law and the terms validly accepted by the customer in connection with that transaction.

A later modification will not retroactively remove mandatory rights already acquired by a customer.
